El Paso Pipeline Partners Gets Offer To Acquire Assets From El Paso Corp

El Paso Pipeline Partners, L.P. (EPB: Quote) announced that it has received a proposal from El Paso Corp. (EP: Quote) whereby the partnership would purchase from El Paso Corp the remaining 14 percent of Colorado Interstate Gas Company, L.L.C. and all of Cheyenne Plains Investment Company, L.L.C. which owns Cheyenne Plains Gas Pipeline Company, L.L.C.

The proposal is subject to approval by the Board of Directors of El Paso Corporation.

The Board of Directors of EPB's general partner, El Paso Pipeline GP Company, L.L.C. or "EPB GP", has formed a committee made up of independent directors to review the proposal. Following the committee's review, the proposal must also be approved by EPB GP's full Board of Directors, El Paso Pipeline Partners said.

If approved, the transaction is expected to close contemporaneously with Kinder Morgan, Inc.'s acquisition of El Paso Corporation and be immediately accretive to distributable cash flow.

Stocks have shown a notable move to the downside in early trading on Friday amid lingering concerns about the outlook for the Federal Reserve's asset purchase program. The major averages have slid firmly into negative territory, adding to the modest losses posted in the previous session. After reporting a sharp drop in new orders for manufactured durable goods in the previous month, the Commerce Department released a report on Friday showing that durable goods orders rebounded by more than anticipated in the month of April. The report said durable goods orders surged up by 3.3 percent in April after tumbling by a revised 5.9 percent in March. The popular e-mail management app Mailbox, developed by Orchestra Inc., has been updated to be compatible with Apple's iPad. Orchestra disclosed the news of the update through its official blog. "You asked, we listened. Mailbox is now available for iPad, so you can swipe your way to inbox zero on all your iOS devices," Orchestra's brief blog read.
