R. R. Donnelley & Sons Agrees To Buy EDGAR Online - Quick Facts

R. R. Donnelley & Sons Co. (RRD: Quote) and EDGAR Online (EDGR: Quote) jointly announced that they have signed a definitive agreement pursuant to which RR Donnelley will acquire EDGAR Online. The deal is worth about $70.5 million, which includes $1.092 per common share, assumption of debt and payment of an amount equal to the redemption price of the preferred shares.

The acquisition is projected to be accretive to RR Donnelley's earnings in the first full year after the closing of the transaction and is subject to customary closing conditions, including regulatory approval and approval of EDGAR Online shareholders.

The deal is expected to close during the third quarter of 2012.

Red Hat Inc., the world's largest seller of Linux software, said Wednesday after the markets closed that its first quarter profit rose 8% from last year, as revenue increased 15% amid strong consumer demand. The company's quarterly earnings per share, excluding items, also came in above analysts' expectations as did its quarterly revenue.
