AOL Urges Stockholders To Continue To Support AOL Board - Quick Facts

AOL Inc. (AOL) said it filed an investor presentation with the Securities and Exchange Commission in connection with its 2012 Annual Meeting of Stockholders scheduled for Thursday, June 14, 2012.

The AOL Board unanimously recommended that all stockholders vote "FOR" AOL's director nominees - Tim Armstrong, Richard Dalzell, Karen Dykstra, Alberto Ibargüen, Susan Lyne, Patricia Mitchell, Fredric Reynolds and James Stengel - on the WHITE proxy card.

Starboard Value, together with its affiliates, currently owns about 5.2 percent of the outstanding shares of AOL, and is currently trying to seat five of its nominees on AOL's board in a proxy contest.

AOL said its Board nominees are diverse and have significant operational, financial and public board experience in AOL's areas of strategic focus. However, AOL said Starboard's slate does not have a long-term strategy or relevant industry experience.
