Credo Petroleum To Settle Merger Litigation - Quick Facts

Credo Petroleum Corp. (CRED: Quote) announced Friday that it has signed a memorandum of understanding to settle the previously disclosed consolidated shareholder class action lawsuit captioned In re Credo Petroleum Corporation Shareholder Litigation, pending in the Delaware Court of Chancery. The Merger Litigation relates to the Agreement and Plan of Merger, dated as of June 3, 2012, by and among Forestar Group Inc. , Longhorn Acquisition Inc., a wholly owned subsidiary of Forestar, and CREDO Petroleum Corporation.

Credo said it agreed to the settlement solely to avoid the costs, risks and uncertainties inherent in litigation, and without admitting any liability or wrongdoing. Credo noted that it denies all liability with respect to the facts and claims alleged in the Merger Litigation and specifically denies that any breach of fiduciary duty occurred, or that any further disclosure is required to supplement the Proxy Statement under any applicable rule, statute, regulation or law.

The settlement provides that the parties will seek to enter into a stipulation of settlement which provides for the conditional certification of the Merger Litigation as a non opt-out class action pursuant to Court of Chancery Rule 23 on behalf of a class consisting of all record and beneficial owners of CREDO common stock during the period beginning on June 3, 2012, through the date of the consummation of the proposed merger, including any and all of their respective successors in interest, predecessors, representatives, and the release of all asserted claims.

Additionally, as part of the settlement, CREDO has agreed to make certain additional disclosures related to the proposed merger.

A leading indicator of Australian economic activity continued to signal above-trend growth for the economy in the coming quarters, a report from Westpac and Melbourne Institute showed Wednesday. The annualized growth rate of the leading index, which indicates the likely pace of economic activity three to nine months into the future, was 5.4 percent in April, comfortably above its long term trend. Publishing and design software maker Adobe Systems Inc. said Tuesday after the markets closed that its second quarter profit fell 66% from last year, hurt by lower revenue as well as higher costs and expenses. However, the company's quarterly earnings per share, excluding items, came in above analysts' expectations and its quarterly revenue was in line with analysts' forecast. Stocks showed a strong upward move over the course of the trading day on Tuesday, adding to the gains posted in the previous session. The rally came even as traders expressed some uncertainty ahead of tomorrow's Federal Reserve announcement. The major averages gave back some ground going into the close but remained firmly in positive territory.
