CareFusion Corp. (CFN) on Wednesday announced a private offering of $300 million aggregate principal amount of senior notes, the net proceeds of which the company plans to use for general corporate purposes.
The notes will be senior unsecured obligations of the company, offered solely to qualified institutional buyers in the United States in accordance with Rule 144A under the Securities Act of 1933, as amended, and to certain non-U.S. persons located outside the United States pursuant to Regulation S under the Securities Act.
The offer and sale of the notes will not be registered under the Securities Act and the notes may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and state securities laws.
