TNT EXPRESS Reports Results Of Annual General Meeting Of Shareholders

Dutch package delivery company TNT Express (TNTEF.PK,TNTEY.PK) announced that the Annual General Meeting of Shareholders or AGM held today appointed Tex Gunning as an additional member of the Executive Board of TNT Express in the position of chief executive officer, with effect 1 June 2013.

The AGM approved the 2012 financial statements and determined the 2012 dividend at 3 cents euros per ordinary share of 8 cents euros nominal value.

At the AGM, the Shareholders approved appointment of Sjoerd Vollebregt as an additional independent member of the Supervisory Board for a period of four years ending at the end of the AGM in 2017. The Supervisory Board may request Vollebregt to resign from the Supervisory Board if PostNL reduces its shareholding in TNT Express to 15% or less.

The Shareholders also approved re-appointment of Margot Scheltema and Shemaya Levy as members of the Supervisory Board for a term of four years ending at the end of the AGM in 2017.

In addition, the Shareholders adopted the resolutions to release from liability the members of the Executive Board and of the Supervisory Board for their tasks in so far as these tasks are apparent from the financial statements.

The Shareholders also approved the resolutions to extend the designation of the Executive Board as authorised body to issue ordinary shares until 10 October 2014; to extend the designation of the Executive Board as authorised body to limit or exclude the pre-emptive right upon the issue of ordinary shares until 10 October 2014.
