Shutterfly Inc. (SFLY) announced after the close Monday that it intends to offer $220 million aggregate principal amount of convertible senior notes due 2018 in a private offering. The stock is now down 0.98 on 53K shares.

Shutterfly was range-bound for the majority of Monday's session and closed up by 0.07 at $43.98.
