Gainers:

Clearwire Corp. (CLWR) is surging 19 percent to $4.15. Dish Network Corp. (DISH) raised its offer for the company to $4.40 per share. The Dish offer represents a $1.00 per share or 29 percent premium over Sprint Nextel Corp.'s (S) current offer price of $3.40 per share. Meanwhile, Clearwire shareholders are slated to vote on the Sprint deal at a special meeting of shareholders scheduled to be held tomorrow.

Sanderson Farms, Inc. (SAFM) is gaining over 1 percent to $67.00. The company's second quarter profit improved from the prior year period and topped Wall Street view. Net sales improved, but missed the consensus estimate.

EMC Corp. (EMC) is up 5 percent to $24.89. The company initiated a quarterly cash dividend and also raised its repurchase authorization from $1 billion in 2013 to $6 billion over the three-year period ending December 31, 2015.

Facebook, Inc. (FB) is up 3 percent to $24.10.

First Solar, Inc. (FSLR) is gaining more than 6 percent to $55.25.

SolarCity Corp. (SCTY) is up 4 percent to $50.30.

Decliners:

Vanguard Natural Resources, LLC (VNR) is down 4 percent to $28.22 based on the news about a public offering of 7 million common units representing limited liability company interests. The company plans to use the offering net proceeds to repay a portion of its indebtedness.

Joy Global, Inc. (JOY) is falling 1 percent to $54.30 as the company lowered its full year forecast, after reporting lower profit and sales in its second quarter. The company noted that customers have sharply reduced capex spending in the backdrop of lower expectation for commodity prices.
