Allscripts Healthcare Solutions, Inc. (MDRX) said it plans to make a private offering of $300 million aggregate principal amount of its Cash Convertible Senior Notes due 2020. In addition, Allscripts intends to grant the initial purchasers of the notes an option to buy up to an additional $45 million aggregate principal amount of the notes. The notes are unsecured, and Allscripts expects to pay interest on the notes semiannually.
The notes are expected to mature on July 1, 2020, unless earlier repurchased or converted into cash in accordance with their terms prior to such date. Allscripts plans to use the net proceeds to pay the cost of the cash convertible note hedge transactions. Allscripts expects to use substantially all of the remainder of the net proceeds from the offering in order to repay a portion of its outstanding indebtedness.
