Allscripts Healthcare Solutions, Inc. (MDRX) Thursday said it agreed and priced to sell $300 million aggregate principal amount of its Cash Convertible Senior Notes due 2020 to initial purchasers in a private offering that is expected to close on june 18, subject to customary closing conditions.
The initial conversion price of the notes represents a premium of approximately 30 percent to the $13.22 per share last reported sale price of the companies' common stock on June 12.
The company said it has granted the initial conversion price of the notes to buy up to an additional $45 million amount of the notes and it intends to use substantially all of the remainder of the net proceeds from the offering in order to repay a portion of its outstanding indebtedness.
