Thomson Reuters Announces Conditional Cash Tender Offer - Quick Facts

Thomson Reuters Corp. (TRI.TO,TRI) announced that it has commenced a cash tender offer for up to an aggregate principal amount of approximately $650 million of debt securities, conditional upon the closing of the company's previously announced sale of a 55% interest in its Financial & Risk business to private equity funds managed by Blackstone for approximately $17 billion. An affiliate of Canada Pension Plan Investment Board and an affiliate of GIC will invest alongside Blackstone.

Thomson Reuters plans to use approximately $4 billion of the proceeds from the F&R Transaction to fund the tender offer, the conditional redemptions and to repay other outstanding indebtedness.
