Real Goods Solar Inc. (RSOL) announced that it has entered into a definitive agreement to raise about $9.25 million by issuing 3.37 million shares of Class A common stock at a per share price of $2.75 and warrants to purchase 1.68 million shares of Class A common stock, with a term of five years from the closing date and an exercise price of $2.75 per share.
The company expects to receive net proceeds of approximately $8.4 million, after paying placement agent fees and estimated offering expenses. The company expects to close the offering no later than June 5, 2013, subject to customary closing conditions and compliance with notification requirements under the NASDAQ Listing Rules.
