Welltower To Implement Holding Company Reorganization

Welltower Inc. (WELL) said it plans to implement a holding company reorganization that would structure Welltower as an Umbrella Partnership Real Estate Investment Trust, or UPREIT. A new holding company will become the publicly traded parent company and will inherit the name Welltower Inc. The current real estate investment trust will exist as a subsidiary of New Welltower. New Welltower common stock will trade on the NYSE on an uninterrupted basis under the existing symbol, WELL.

Welltower said the reorganization is intended to align its corporate structure with other publicly traded U.S. real estate investment trusts and provide a platform for Welltower to more efficiently acquire properties in a tax-deferred manner. The reorganization is not anticipated to have any impact on the financial position of Welltower. The reorganization also will not impact the payment of the dividend, the company said.

Salt Lake City, Utah-based Creminelli Fine Meats is recalling around 4,207 pounds of ready-to-eat or RTE parmesan salami sticks citing misbranding and an undeclared allergen, the U.S. Department of Agriculture's Food Safety and Inspection Service or FSIS announced. The rule titled, "Nonprescription Drug Product with an Additional Condition for Nonprescription Use," is intended to increase options for the development of safe and effective nonprescription drugs. The U.S. Food and Drug Administration announced that Australian organic infant formula and baby food producer, Bellamy's Organic, has agreed to send around 696,000 cans of general formula milk to the United States to meet the supply shortage. Under the FDA's enforcement discretion to source more infant formula to the U.S., the available Bellamy's Organic products include about 1.4 million pounds.
