AirNet Technology To Raise $180 Mln Via Direct Offering Of Shares And Warrants

AirNet Technology Inc. (ANTE) has signed a definitive agreement with investors to sell 80.83 million ordinary shares and accompanying warrants in a registered direct offering.

The combined purchase price is $2.227 per share and warrant, with the warrants exercisable at $3.3405 per share and expiring in five years.

Gross proceeds are expected to reach approximately $180 million, with closing anticipated on or around August 27, 2025, pending customary conditions.

The company plans to use net proceeds for general corporate and working capital needs. Details of the purchase agreement and warrant terms will be included in a Form 6-K filing with the U.S. Securities and Exchange Commission.

The securities will be issued under an effective Form F-3 shelf registration statement (File No. 333-279318) filed in May 2024. The offering will be conducted solely through a written prospectus and prospectus supplement, which will be available via the SEC's website.

Friday, ANTE closed at $2.81, up 27.73%, and is trading after hours at $2.67, down 4.98%, on the NasdaqCM.
