First Foundation Bank, and its parent holding company, First Foundation Inc. FFI, and Desert Commercial Bank (DCBC.OB), announced that on May 30, 2012, the second and third amendments to the definitive agreement and plan of merger under which First Foundation Bank will acquire Desert Commercial Bank were completed.
The company stated that the second amendment extends the termination date from June 30, 2012 to August 15, 2012. The third amendment, which requires the approval of Desert Commercial Bank's shareholders, changes the date in the section regarding the registration and listing of First Foundation Inc shares from April 30, 2013 to October 31, 2013.
