Delaware-based Rigrodsky & Long, P.A. Saturday said it has started investigation regarding potential legal claims against the board of directors of Gardner Denver, Inc. (GDI).
The investigation concerns possible breaches of fiduciary duties and other violations relating to the company's agreement with Kohlberg Kravis Roberts & Co.
Under the terms of transaction Kohlberg had agreed to acquire Gardner Denver for an all-cash offer of $76.00 per share.
The transaction is currently valued at approximately $3.6 billion, including the assumption of debt.
