Rosetta Resources Inc. (ROSE) said Thursday that it has priced its public offering of $700 million in aggregate principal amount of 5.625% Senior Notes due 2021.
The notes were priced at par. The sale of the notes is expected to settle on May 2.
The company plans to use all of the net proceeds from the proposed notes offering to fund a portion of the consideration for its previously announced acquisition of oil and natural gas assets in the Permian Basin from Comstock Resources, Inc.
If the Acquisition is not consummated by July 15, or if the purchase and sale agreement is terminated at any time prior to the consummation of the acquisition, the company will be required to redeem all of the notes in cash at a redemption price equal to 100% of the aggregate principal amount of the notes, plus accrued and unpaid interest to the date of redemption.
