Ambassadors International Inc. (AMIE) said in a filing that effective May 17, Arthur Rodney resigned as interim chief executive officer and as a director and as an officer of the company and its subsidiaries. Hans Birkholz took over the role as chief executive officer, effective May 17, 2010.
In connection with Rodney's resignation, the company executed Consulting Agreement with Rodney dated May 14, 2010. Pursuant to terms, Rodney will be retained by the company to provide consulting services on a part-time basis for twelve months following his resignation. The company said that the consulting agreement includes customary confidentiality, non-disparagement and release provisions.
Ambassadors International stated that Rodney will be compensated at $14,000 per month for the first three months of the deal and $7,500 per month for the remaining nine months. Under terms, Rodney will also receive one-time grant of 53,535 restricted common shares. The restricted shares will vest over the course of next 12 months in twelve equal monthly installments, beginning on June 1, 2010.
Birkholz also joined the board to fill the vacancy resulting from Rodney's resignation. Birkholz's term expires at the annual meeting of stockholders in 2011. The company noted that Birkholz was not appointed to serve on any Board committees.
