Engage XR Holdings Plc (EXR.L), a spatial computing and metaverse technology company, announced Tuesday the appointment of Karthik Manimozhi as the Group's new non-Executive Chairman, effective from July 1.
As Chair, Manimozhi replaces Richard Cooper, who is stepping down from the role after six years, having led the Board since the firm's IPO.
Cooper will remain on the board as Senior Independent Director and Chair of the Audit Committee.
Manimozhi currently serves as Chief Growth Officer for Mindbridge.ai, an AI platform delivering Financial Risk Intelligence for Enterprises.
Previously, Manimozhi was Executive Vice President of Global Sales at Kyriba, a Fintech company. He has held key roles at SAP, managing vital businesses across Europe, the Americas, and the Middle East. He also served as Chief of Ecosystem and Executive Director of SAP Americas.
The company further announced Marc Metis will join the Board as the representative of HTC which owns 11.96% of the total issued share capital of ENGAGE XR.
Metis replaces Praveen Gupta, who served as non-Executive director from July 6, 2020 to December 8, 2023, until he retired from HTC.
Manimozhi will also sit as Chair of the company's newly formed Nominations Committee, alongside Cooper and Metis.
Furthermore, Kenny Jacobs, Non-executive director, who joined the Board in 2022, will replace Cooper as Chair of the Remuneration Committee. Cooper will however remain on the Remuneration Committee.
Separately, ENGAGE XR announced that its Annual General Meeting will be held on June 27.
In London, ENGAGE XR shares were trading at 1.62 pence, down 12 percent.
