The boards of NewRiver REIT plc and Capital & Regional plc have reached agreement on the terms and conditions of a recommended cash and share offer pursuant to which NewRiver will acquire the entire issued and to be issued share capital of Capital & Regional. Scheme shareholders will be entitled to receive: for each Capital & Regional share: 31.25 pence in cash; and 0.41946 new NewRiver shares. Te terms imply a value of 62.5 pence per Capital & Regional share and approximately 147 million pounds for the entire issued, and to be issued, ordinary share capital of Capital & Regional.
Capital & Regional shareholders will, in aggregate, receive approximately 98,527,475 new NewRiver shares and, immediately following completion, will own approximately 21 percent of the issued ordinary share capital of NewRiver.
