Wednesday morning, Mindspeed Technologies, Inc. (MSPD), a provider of semiconductor solutions for network infrastructure applications, said that it has signed a deal to acquire the product portfolio and intellectual property assets of Ample Communications, Inc., a developer of Ethernet media access controller products for carrier Ethernet aggregation applications.
Mindspeed said it would pay about $4.6 million in cash to acquire the assets in a private foreclosure sale from Ample's senior creditor and the deal is expected to close before the end of its current fiscal quarter subject to the satisfaction of various closing conditions.
The company expects the acquisition to increase revenues by about $3 million in fiscal year 2008 and margins generally in line with the corporate average.
The company said it did not expect any impact to its non-GAAP operating profitability in the first half of fiscal 2008 and expects the acquisition to be accretive in the second half of fiscal 2008.
Raouf Halim, chief executive officer of Mindspeed said, "With this acquisition Mindspeed will enter a strategic new market segment which we believe will significantly diversify our WAN portfolio."
MSPD is currently down $0.02 or 1.17% and trades at $1.69
