Imaginatik Plc (IMTK.L, IMGKF.PK) said that Pfizer Inc. (PFE) has subscribed for a total of about 8.036 million shares of the company representing 6.45% of the enlarged share capital. The price has now been calculated as 6.22209 pence per share.
Imaginatik announced on 21 February 2008 that Pfizer had agreed to subscribe for up to 12.95 million new ordinary shares.
The subscription price per Share and number of Subscription Shares to be issued is based upon a 5% premium to the average closing offer price of an ordinary share in Imaginatik over the five dealing days following that announcement, being 21 February to 27 February 2008.
Completion is conditional on admission to trading on AIM of the Subscription Shares occurring on or by 13 March 2008. Application for Admission has been made today and is expected to occur on 6 March 2008.
Following the Subscription, Imaginatik will have about 124.64 million ordinary shares in issue.
