ConAgra Foods Inc. (CAG) and Ralcorp Holdings Inc. (RAH) announced that they have received a "no-action letter" from the Canadian Competition Bureau confirming that the Commissioner of Competition does not intend to challenge ConAgra Foods' acquisition of Ralcorp.
The receipt of the "no-action letter" satisfies one of the conditions to the consummation of the transaction. The transaction remains subject to certain other closing conditions, including approval by Ralcorp's shareholders.
