Pritzker Family Tension Surfaces In Hyatt IPO Amendment - Update

Hyatt Hotels Corp. revealed in an SEC filing that disagreement among family members may influence its business. Listing the risk factors to its business, the company said in an amendment to its Initial Public Offering, or IPO, filing, ''Disputes among Pritzker family members and among Pritzker family members and the trustees of the Pritzker family trusts may result in significant distractions to our management, disrupt our business, have a negative effect on the trading price of our Class A common stock and/or generate negative publicity about Hyatt and the Pritzker family.''

The role of Penny Pritzker as one of Hyatt's independent directors is another controversial aspect, as she is involved in running other family companies, some of which have business interactions with Hyatt. Certain of her powers, including a veto power that could restrict annual sale of stock by family members, has been taken out now. The family members can sell up to 25% of their Hyatt holdings every 12 months, instead of the 20% contemplated previously.

The company noted in the latest filing that after this offering, Pritzker family business interests will continue to have substantial control over it and ''will maintain the ability to control the election of directors and other matters submitted to stockholders for approval, which will limit your ability to influence corporate matters or result in actions that you do not believe to be in our interests or your interests.''

The company plans to offer $1.15 billion in IPO. The number of shares being sold and the price range have not been disclosed. The stock has been approved for listing on the New York Stock Exchange under the symbol 'H.'

The net proceeds from the offering are intended to be used primarily for working capital and other general corporate purposes, including capital expenditures. The company also may use a portion of the net proceeds for the acquisition of, or investment in, new properties or businesses that complement its business.

Goldman, Sachs & Co., Deutsche Bank Securities Inc. and J.P. Morgan Securities Inc. are the underwriters to the offering.
