Fulcrum Therapeutics, Inc. (FULC) and Slate Medicines, Inc. announced that they have entered into a definitive all-stock merger agreement to form a combined company focused on next-generation migraine therapies. Upon completion, the entity will operate under the name Slate Medicines, Inc. and trade on Nasdaq under the ticker symbol SLTE.
The lead program of Slate is SLTE-1009, a clinical-stage subcutaneous monoclonal antibody targeting both PACAP and VIP neuropeptides, designed for the preventative treatment of migraine. The therapy has received clearance to enter Phase 1 trials in Australia, with initial pharmacokinetic and safety data expected mid-2027. A Phase 2 dose-range finding study in migraine patients is also planned.
To support the merger, Slate secured commitments for an oversubscribed $245 million private placement financing led by Frazier Life Sciences, with participation from Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments, and Mingxin Capital.
The combined company's cash balance at closing is expected to fund operations into 2029 and advance SLTE-1009 through key clinical milestones.
Under the terms of the merger, pre-merger Fulcrum stockholders are expected to own 5.0% of the combined company, while Slate stockholders, including financing participants, will own 95%. Fulcrum will contribute about $20.3 million in net cash and pay a cash dividend of an estimated $270 million to its stockholders immediately prior to closing.
The transaction has received unanimous approval from both boards and is expected to close in the fourth quarter of 2026, subject to customary conditions, including stockholder approval and regulatory clearances.
Gregory Oakes, Chief Executive Officer of Slate Medicines, stated that the merger provides the resources to advance SLTE-1009 and the broader pipeline through meaningful clinical milestones. Fulcrum CEO Alex Sapir added that the transaction represents the best path forward for Fulcrum's shareholders and a compelling opportunity to participate in the development of next generation migraine therapeutics.
FULC has traded between $2.83 and $15.74 over the past year. The stock closed Friday's trading (August 14, 2026) at $3.74, up 0.81%. In pre-market trading the stock is at $3.95, up 5.62%.
