Kairos Pharma, Ltd. (KAPA), a clinical-stage biopharmaceutical company focused on overcoming cancer drug resistance announced Friday that it will implement a 1-for-7 reverse stock split of its outstanding common shares.
The reverse split will take effect September 1, 2026, at 12:01 a.m. ET. Every seven shares will automatically combine into one, with fractional shares rounded up to whole shares. Adjustments will also be made to convertible notes, warrants, and equity awards to reflect the new ratio.
The reverse split will not affect the par value of the company's common stock, nor will it change the number of authorized shares. Each shareholder's percentage ownership and voting power remain unchanged, aside from minor adjustments due to rounding.
Clinical Pipeline Programs
-ENV-105 (Phase 2, prostate cancer): An antibody targeting CD105 to reverse resistance to anti-androgen drugs, with an efficacy update from the ongoing Phase 2 trial anticipated in the third quarter of 2026.
-ENV-105 (Phase 1, EGFR-driven non-small cell lung cancer): The same antibody candidate applied to overcome resistance to EGFR-targeted therapies such as Osimertinib, currently in early clinical evaluation.
KROS-201 (IND-cleared, glioblastoma): An activated T cell therapy positioned for clinical entry in one of the most aggressive forms of brain cancer.
-KROS-741 (Pre-clinical, lung and gastric cancers): A small-molecule cMET antagonist advancing toward IND submission, with filing anticipated in the third quarter of 2026.
-KROS-101 (Pre-clinical, solid tumors): A small molecule designed to increase T cell number and function, with a research collaboration focused on its GITRL check point inhibitor mechanism expected to begin in the third quarter of 2026.
-KROS-102 (Pre-clinical, autoimmune disease): A small molecule aimed at decreasing T cell number and function to address autoimmune conditions.
-KROS-301 (Pre-clinical, triple-negative breast cancer): A small molecule targeting cancer growth and immune evasion, currently in pre-clinical development.
-KROS-401 (Pre-clinical, triple-negative breast cancer): A peptide therapy designed to reprogram pro-tumor macrophages into anti-tumor macrophages.
-ENV-205 (Pre-clinical, prostate cancer): An antibody targeting secreted mitochondrial DNA to reverse resistance to chemotherapy. -In addition, Kairos recently announced a strategic collaboration with Bayer to enhance the activity of XOFIGO (radium-223 dichloride) in metastatic prostate cancer. The partnership is designed to explore combination approaches that may improve outcomes in patients with advanced disease.
KAPA has traded between $0.27 and $2.11 over the past year. The stock is currently trading at $0.22, down 21.46%.
