Constellation Software Inc. (CSU.TO) announced cash offer for the entire issued and to be issued ordinary share capital of Gladstone Plc (GLD.L). The company said the offer would be made on the basis of 25 pence per Gladstone Share.
The company said the cash tender offer values the existing issued ordinary share capital and in the money share options of Gladstone at about GBP 13.54 million. The offer represents a premium of about 33.3% to the closing Price of 18.75 pence per Gladstone Share on the last trading date of October 10, 2008.
