Varian, Inc. (VARI) said that at a special meeting of stockholders held on October 5, 2009, its stockholders adopted the merger agreement entered into with Agilent Technologies, Inc. (A), under which Agilent will acquire Varian for $52.00 per share in cash. Approximately 84% of the shares of Varian common stock outstanding as of August 12, 2009, the record date for the special meeting, voted to adopt the merger agreement.
