Agrium Inc. (AGU, AGU.TO) announced that it has placed an advertisement in The Wall Street Journal regarding its offer to acquire all of the outstanding shares of CF Industries Holdings Inc. (CF). Agrium has made a clear offer of $45.00 in cash and one Agrium share: $100.54 per CF share based on November 17, 2009 closing share price.
The company noted that the final offer represents a premium of 113% to CF's share price the day before CF first offered to acquire Terra.
Recently, RiskMetrics recommended CF stockholders tender their shares into Agrium's offer, and expressed concern "about the accountability of the CF board going forward" as CF's stockholders "will have no recourse to prevent an undesired Terra deal from being consummated.
