Raptor Pharma Enters Into Definitive Agreements With Institutional Investors To Purchase 3.75 Mln Units For About $7.5 Mln

Raptor Pharmaceutical Corp. (RPTP) announced that it has entered into definitive agreements with institutional investors to purchase 3.75 million units for gross proceeds of about $7.5 million, before placement agent fees and offering expenses. The offering is expected to close on or about December 22, 2009, subject to the satisfaction of customary closing conditions.

Raptor said that it intends to use the net proceeds from the offering for general corporate purposes, including activities related to further clinical development of DR Cysteamine and for other working capital and operational purposes.

The securities sold in this offering consist of one share of common stock and one warrant to purchase 0.5 of a share of common stock for a period of five years and one warrant to purchase 0.5 of a share of common stock for a period of 18 months. Both warrants have an exercise price of $2.45 per share of common stock and are exercisable starting with the date that is 180 days from the closing of the offering. The shares of common stock and warrants are immediately separable and will be issued separately.
