NWF Group Buys Northern Energy Oil For GBP 8.3 Mln

NWF Group plc (NWF.L), a specialist distributor, Monday said it has acquired Northern Energy Oil Limited for 8.3 million pounds.

The acquisition increases NWF's total fuel volumes by about six per cent on a pro forma basis. The deal is also expected to add to NWF's earnings immediately.

"This is in line with the Group's strategy to grow its fuels distribution business through consolidation, which represents the third largest operation in the United Kingdom," the company said in a statement.

NWF said 7.3 million pounds paid in cash on completion of the deal, with the remaining 1 million pounds to be paid in three tranches upon the vendors satisfying certain post-completion conditions, which are expected to be met within the next 18 months.

Northern is a 42 million litre fuel distributor operating five sites in North Yorkshire, Northumbria and Lincolnshire. It had generated revenue of 35.1 million pounds for the period of 12 months to August 31, 2024. The company had reported profit before tax of 0.1 million pounds and EBITDA, or earnings before interest, taxes, depreciation, and amortization of 0.6 million pounds for the period.
