UCLOUDLINK Halts New Form F-3 Filings, Focuses On Growth And Core Business Expansion

UCLOUDLINK GROUP INC. (UCL), the leading global mobile data traffic sharing marketplace, announced that it will not pursue financing under its existing Form F-3 registration statement until its expiration on August 7, 2025, nor will it renew or file a new Form F-3 registration before the end of Q1 2026.

This decision reflects the company's consideration of current market conditions and shareholder interests.

UCLOUDLINK CEO Chaohui Chen explained that the Form F-3 was originally filed in 2021 as a precaution against the COVID-19 pandemic's impact on international data connectivity and cash flow. He noted that, despite these challenges, the company achieved steady net operating cash inflow growth and improved financial results from 2022 to 2024, driven by cost control measures, operational efficiencies, enhanced R&D, and faster commercialization.

Chen also stated that UCLOUDLINK will now focus on expanding its core businesses — including GlocalMe MBB/FBB, GlocalMe Life, GlocalMe SIM, and GlocalMe IoT — while accelerating the commercialization of new solutions and services and targeting high-potential markets to drive long-term shareholder value.

UCL is currently trading at $1.9703 or 4.8164% lower on the NasdaqGM.
