Terveystalo Healthcare To Buy Finnish Dental Clinic Company Hohde Group For EUR 88 Mln

Terveystalo Healthcare Oy (4TS.F,TTALO.HE) Tuesday said that it has signed a deal to acquire Hohde Group, which includes Hammas Hohde Oy's dental clinics and Loisto Laboratoriot Oy's dental laboratories. The transaction is expected to strengthen Terveystalo's oral health services across multiple customer regions.

The Finnish healthcare provider said that the acquisition is subject to approval from the Finnish Competition and Consumer Authority, with completion expected to completed in 2026.

The company said that the agreed purchase price sums up to an enterprise value of approximately 88 million euros, corresponding to an EV/EBITDA multiple of around 8x, including estimated full potential synergies. The acquisition is expected to be accretive to earnings per share from the first full year, following its completion, it said in an official statement.

Terveystalo said that its existing partner banks have provided preliminary commitments to arrange the debt financing for the transaction.

The company said that Hohde Group is one of Finland's fast growing private providers of dental and dental laboratory services with a network of 33 dental clinics and 14 dental laboratories. On a pro forma basis, Hohde Group's revenue is forecast at approximately 60 million euros, with EBITDA of about 7 million euros in fiscal 2025.

According to the company, the acquisition will bring to all customers comprehensive, high-quality oral health services even while supporting the ongoing development of digital oral health solutions.

On the Frankfurt Exchange, 4TS.F ended Monday's trading at 9.34 euros.
