Zhengye Receives Deficiency Notice From Nasdaq On Account Of Minimum Bid Price

Zhengye Biotechnology Holding Limited (ZYBT), a commercial-stage veterinary vaccine company, announced on Thursday that it received a written notification from the Nasdaq Stock Market LLC on May 29, 2026. The notification stated that the company is not in compliance with the minimum bid price requirement as outlined in Nasdaq Listing Rules 5550(a)(2) for continued listing.

Zhengye Biotechnology Holding Limited, based in China, is a commercial-stage company focused on the research, development, manufacture, and commercialization of veterinary vaccines for livestock and companion animals.

According to the Nasdaq Listing Rule 5550(a)(2), it requires listed companies to maintain a minimum bid price of $1.00 per share, and Nasdaq Listing Rule 5810(c)(3)(A) provides that a failure to meet the minimum bid price requirement exists if the deficiency continues for a period of 30 consecutive business days.

The company stated that based on its Class A ordinary shares closing bid price between April 16, 2026, and May 28, 2026, it no longer meets the minimum bid price requirement.

In accordance with Nasdaq Listing Rule 5810(c)(3)(A), it has been provided 180 calendar days, or until November 25, 2026, to regain compliance by achieving a closing bid price of at least $1.00 for a minimum of 10 consecutive business days.

If the company does not regain compliance by November 25, it may be eligible for additional time to meet the requirements or could face delisting. The firm has indicated that its business operations are not affected by the notice from Nasdaq.

Zhengye stated that it is monitoring the closing bid price of its Class A ordinary shares and is exploring available options. However, if the share price does not regain compliance with the minimum bid price requirement, the company may consider implementing a reverse stock split of its outstanding Class A ordinary shares.

Zhengye has traded between $0.68 and $13.08 over the last year.

Zhengye is currently trading at $0.82, up 0.83%.
