GNI Group Ltd. (2160.T), a commercial-stage biopharmaceutical company that focuses on therapies for liver diseases, pulmonary disorders, and oncology, announced it has entered into an agreement to acquire Ayumi Pharmaceutical Holdings Co., Ltd., a specialty pharmaceutical company focused on rheumatology, orthopedics, and pain management.
According to the agreement, the Ayumi Pharmaceutical transaction is valued at approximately 44.8 billion Japanese Yen and will result in the formation of a subsidiary company owned by the GNI Group.
Notably, following the transaction, GNI Group expects its combined fiscal 2026 revenue to reach approximately 65.2 billion Japanese Yen.
Ayumi Pharmaceuticals' flagship product, Calonal, also known as acetaminophen, holds more than 80% of Japan's acetaminophen market.
According to GNI, in the fiscal year ending March 2026, Ayumi's reported revenue was approximately 38.54 billion Japanese Yen compared to 34.79 billion in the prior year.
The firm noted that the acquisition may enhance GNI's commercial presence in Japan and aid in establishing a large-scale pharmaceutical platform. This platform is expected to accelerate the innovation of therapies and biosimilars in the Japanese market.

-Opportunity to expand GNI Group's capabilities in rheumatology, orthopaedics, and pain management through Ayumi Pharmaceutical's established products, commercial infrastructure, and customer relationships.
-Enhance GNI Group's ability to introduce overseas pharmaceuticals and biosimilars into Japan through Ayumi Pharmaceutical's market access and distribution capabilities.

GNI Group shares have traded between 2,112 Yen and 4,340 Yen over the last year. GNI Group shares closed Monday down 0.81% to 2,810.0 Yen on the Tokyo Stock Exchange.
