Syneron Medical's Board Approves Amendment To Rights Agreement - Quick Facts

Syneron Medical Ltd. (ELOS) announced that its board of directors has approved an amendment to the Rights Agreement by and between the company and American Stock Transfer & Trust Co LLC, dated November 11, 2008.

The amendment extends the final expiration date of the rights to purchase ordinary shares of the company issued pursuant to the Rights Agreement to November 30, 2010.

The amendment also amends, effective upon the consummation of the transactions contemplated by the Agreement and Plan of Merger among the company, Syneron Acquisition Sub, Inc. and Candela Corp., the Rights Agreement to provide that each right shall entitle the holder thereof to purchase from the company one and a quarter ordinary shares at $0.01 per ordinary share.
