Lazar for the purchase of the company's non-voting convertible preferred stock. As part of the agreement, the company has received $3.85 million in the first of two closings. Lazar has assumed the role of the CEO and director of the company. Former Chief Executive Officer Justin Hall has assumed the newly created position of Vice President of Business Development. A special cash dividend to its stockholders is expected to be declared during this quarter.
